These Terms of Service ("Terms") govern your use of Pixxl, a software service provided by Cognibee Media Private Limited ("Cognibee", "we", "us"). By creating an account or using Pixxl, you agree to these Terms on behalf of the business you represent.
Pixxl is an assistant for photography studios. It helps studios respond to client inquiries on WhatsApp and Instagram, prepare and send quotes, send payment reminders, and keep their bookings and payments organised. Pixxl connects to a studio's own WhatsApp Business account and, where the studio chooses, its Instagram professional account — with the studio's permission — and acts on the studio's behalf, keeping the conversation in one place across both channels.
You must be able to form a binding contract and be authorised to act for the business you register. You are responsible for the accuracy of your account information, for all activity under your account, and for keeping your credentials secure. Notify us promptly at admin@pixxl.app if you suspect unauthorised use.
Your use of WhatsApp and Instagram features through Pixxl is also subject to Meta's terms and policies, including the WhatsApp Business Messaging Policy and the policies governing Instagram messaging. We may suspend or limit features where needed to stay compliant with those policies. Meta's platforms are third-party services: we are not responsible for their availability, pricing or policy changes, though we will make reasonable efforts to adapt the service when they change.
Pixxl drafts messages, quotes and reminders using AI. AI output can be imperfect; you remain responsible for the communications sent on your behalf and for verifying prices and commitments before they are made. Pixxl provides controls to review and approve messages, set the assistant's autonomy, and take over any conversation at any time.
Pixxl is offered on a subscription basis. Fees are as agreed with you at signup, are billed in advance, and are exclusive of applicable taxes (including GST). Except where required by law or expressly agreed, fees already paid are non-refundable; if you cancel, the service continues until the end of the paid period. We will give at least 30 days' notice before any price increase takes effect.
Pixxl, including its software and branding, is owned by Cognibee. We grant you a limited, non-exclusive, non-transferable licence to use the service while your subscription is active. You own your content and data; you grant us only the licence needed to operate the service for you.
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. For your End Clients' data, you are the data fiduciary and we act on your instructions as processor.
The service is provided "as is" and "as available". We work to keep it reliable, but we do not guarantee uninterrupted or error-free operation, and to the extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We may modify features; if we discontinue the service or materially reduce it, we will give you at least 30 days' notice.
We may suspend access immediately where necessary to comply with law or Meta policy, to protect the security of the service or other customers, or where fees are materially overdue. We will tell you why and restore access when the issue is resolved.
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or loss of profits, revenue or data. Our total aggregate liability for all claims is limited to the fees you paid us in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud or wilful misconduct, and nothing excludes rights you have under consumer-protection law that cannot be waived.
You will indemnify Cognibee against third-party claims arising from your content, your breach of these Terms, or your violation of law or of Meta's policies — except to the extent the claim results from our own breach or negligence.
You may stop using Pixxl and cancel at any time. We may terminate for material breach that remains uncured 15 days after written notice, or immediately for serious violations (unlawful use, security abuse). On termination you can export your data for 30 days, after which we delete it as described in the Privacy Policy.
Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party platforms, natural disasters, or acts of government.
These Terms and the Privacy Policy are the entire agreement between us about the service. If any provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of the business. Notices to you may be given by email to your account address; notices to us go to admin@pixxl.app.
These Terms are governed by the laws of India, and the courts at Hyderabad, Telangana have exclusive jurisdiction, subject to any non-waivable rights you hold under applicable law. For complaints or grievances about the service, write to admin@pixxl.app with the subject "Grievance"; we acknowledge within 72 hours and aim to resolve within 30 days.
